Item 1.01 Entry into a Material Definitive Agreement.
On April 13, 2018, GP Commercial CB SL LLC (the “Borrower”), a wholly owned subsidiary of Granite Point Mortgage Trust Inc. (the “Company”), entered into a Credit Agreement (the “Agreement”), with Citibank, N.A., as administrative agent and initial lender, Citigroup Global Markets Inc., as sole lead arranger and sole lead book running manager, and the Company and certain other of the Company’s wholly owned subsidiaries, as guarantors.
The Agreement provides for a two-year revolving credit facility (the “Credit Facility”) of up to $75,000,000. The maximum amount available for borrowing at any time under the Agreement is based on a valuation of certain assets of the Borrower. The Agreement also contains various affirmative and negative covenants, which are customary for similar revolving credit facilities, including monthly and quarterly reporting requirements and limitations on the incurrence of additional indebtedness and changes of control.
The foregoing description of the Agreement does not purport to be complete and is qualified in its entirety by reference to the full text of the Agreement which is filed herewith as Exhibit 10.1 and incorporated herein by reference.
Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
